Review Oxford University Press, USA / Institutional Shareholders and Corporate Governance Publication date: 1996-08-29
Dewey code: 658.4
List Price: $285.00

Review Institutional Shareholders and Corporate Governance / Oxford University Press, USA:

This book examines the role of institutional shareholders in corporate governance, which is the system by which companies are directed and controlled. This si a subject of great concern to "public companies", their management, their shareholders and their employees. The recent concern about the effectiveness of corporate governance in a number of different countries has produced an outpouring of books and other publications including the Cadbury Committee Report which sought to address the principal problems arising in the UK. The unusual feature of this book is that it compares systems operating in Australia with those in the UK while at the same time also looking carefully at US, German and Japanese experience. The significance of the subject matter of this book lies in the fact that institutional investors collectively hold a very large proportion of the equity capital of the UK "corporate sector", and a sizeable proportion of the equity capital of the Australian equivalent. In addition domestic companies in turn occupy an extremely significant position in the UK economy and a significant one in the Australian economy. How these companies are managed is of very great significance to the economies of these countries.

Review Mercosur: Trade and Investment Amid Financial Crisis (International Economic Development Law, 18) / Kluwer Law International:

Since its creation by the Treaty of Asuncion in 1991, the regional trade association of MERCOSUR has been plagued by financial crises in its member states. Yet it continues, albeit slowly, to meet its objectives. To its four full members (Brazil, Argentina, Paraguay and Uruguay) it has already added Chile and Bolivia as associate members and continues its negotiations with the Andean Community and even with Mexico. This work by an authority on the subject is a full-length analysis of the viability of MERCOSUR as an effective engine of economic development. Professor Guira considers the phenomenon of MERCOSUR in all its real-world and theoretical contexts, from forces inherent in Latin American history to its role in a global trading regime dominated by the WTO, the IMF, the EU and NAFTA. He provides in-depth commentary on the nexus between the economic crises of member states (particularly Brazil and Argentina) and the multiple and complex linkages that animate MERCOSUR's continuing and distinct identity. He finds that, despite the modest effect to date of MERCOSUR on the economic development of its member states, the laws and institutions that characterize the organization are now sufficiently established to weather the confidence-building challenge that must be met and overcome if the major Latin American nations are to play a role in global commerce that matches their enormous economic significance.

List Price: $265.00

Review Legal Aspects of Foreign Direct Investment / Kluwer Law International:

Two of the distinguishing features of the law on foreign direct investment (FDI) are its complexity and its creativity. The law on FDI embraces the domestic rules and regulations dealing with foreign controlled business as well as the numerous bilateral and multilateral legal instruments. It is influenced by awards of international arbitration tribunals as well as numerous other sources, and thus undergoes permanent change. The various actors involved, including transnational corporations, investment promotion agencies, and multilateral donors, as well as lawyers advising foreign investors and financial intermediaries, each follow their own interests. By its nature, the FDI involves the interaction, and sometimes the clash, between different legal concepts of the participants and regulators. Counsels to local governments and domestic partners in a joint venture with foreign companies may not always be accustomed to legal documentation in an Anglo-American or continental European style. As a result, dealing with FDI requires a learning process for all the actors to understand and manage legal and business cultures. All this elucidates the need for a multi-author book which covers various areas of the law on FDI from different perspectives. This book undertakes a regulatory, policy and transactional approach both on the international and the domestic level. The authors of the book are all concerned with FDI as both academics and practitioners and come from a variety of legal, academic and geographical backgrounds. [+]
The book consists of three parts: first, a general introduction to FDI by Dr. Escher; next, an analysis of the emerging international law on FDI and related areas; and finally, an overview of FDI in a variety of countries in Asia, Africa, Latin America and Europe. This variety of perceptions and topics should provide the reader with useful insights into international transactional and domestic aspects of FDI.

Review Daniel N. Hill / Sensible Investing Publication date: 2000-09
Price: $12.95

Review Sensible Investing / Daniel N. Hill:

Sensible Investing is a different kind of investment book that exposes the realities so often obscured by investment media hype. It explains why the Securities and Exchange Commission (SEC), the Government Accounting Office (GAO) and the Certified Financial Planners (CFP) Board of Standards all want advisers to give their clients more meaningful disclosure information and why some advisers are up-in-arms about it. Sensible Investing describes fundamental differences between the traditional "growth/value" approach to asset allocation and the more sensible "sector allocation" approach. It explains how emotions play a significant role in essentially every investor's decision-making. It expalins the basics of tax-efficient investing and the importance of distribution planning.

Review Understanding the securities laws / Practising Law Institute:

The Sarbanes-Oxley Act of 2002 is a frontal assault on corporate fraud, and the new Fourth Edition of Understanding the Securities Laws gives you a clear, detailed grasp of how the Act and related SEC rules are dramatically changing the way you work as a player in the securities industry. While remaining the definitive step-by-step guide to understanding and implementing procedures mandated by the Securities Act of 1933, Securities Exchange Act of 1934, and seminal case law in the field, the new Fourth Edition clarifies and analyzes the many new governance, reporting, and disclosure requirements you must comply with to avoid the now greater civil and criminal penalties. Here, in one concise volume, is essential problem-solving guidance on how: - Public companies can satisfy new disclosure rules, by detailing the makeup of their audit committees and the status of their code of ethics and their internal controls for financial reporting. - Securities lawyers can meet tough new standards of professional conduct, including new reporting and recordkeeping obligations. - CEOs and CFOs can comply with stiff new certification requirements designed to ensure the validity of annual and quarterly reports. - Directors, officers, and principal stockholders can meet detailed new standards ofconduct, including rigorous new disclosure requirements. By turning to Understanding the Securities Laws, you'll learn how the new rules challenge the primacy of Rule 10(b)-5 - pave the way for equitable relief for wronged investors - add increased penalties for ill-gotten profits - create new director and officer bars for misconduct - prohibit certain personal loans to executives - redefine "blackout period" in seeking to prevent insider trading - extend the statute of limitations for securities fraud - mandate greater penalties for securities fraud and mail and wire fraud - and create other imposing lines in the sand you cant afford to cross.
